Results of 2016 Annual General Meeting

CBHS’ Annual General Meeting was held at 9am Thursday 3rd November 2016.

The CBHS Board and Management wish to take this opportunity to thank those members who attended the Annual General Meeting or lodged a Proxy Vote and to advise members of the results of the Annual General Meeting.

Director Election
I can confirm that each of Mr Leslie Moth and Ms Marielle Latour were announced as duly re-elected to the Board of CBHS at the Annual General Meeting in accordance with clause 5.6(a) of the constitution.

Annual General Meeting Resolutions
This year CBHS had two resolutions requiring member approval.

1)      Amendment to the Company’s Constitution; and
2)      Increase in Aggregate Director Remuneration.

I can confirm that both of these resolutions were unanimously passed on a show of hands.

In support of the show of hands the proxy votes received for each resolution are outlined below:

Appointment of the Group Chief Executive Officer as an Executive Director

Clause 9.4 of the amended Constitution allows the Board to appoint the Chief Executive Officer as an Executive Director. As such, I am pleased to confirm that the Board following the Annual General Meeting, appointed Mr Andrew Smith, the Group Chief Executive Officer, as an Executive Director.
